Membership Terms & Conditions

These Membership Terms & Conditions (“Agreement”) govern your participation in and use of Emmanuel Consulting Agency Inc’s Entrepreneur Membership Community also known as Action Entrepreneur Membership hosted on www.Emmanuelconsultingagency.com (“Membership,” “Community,” or “Program”). By subscribing, enrolling, or participating, you (“Member,” “you,” or “your”) agree to abide by these Terms & Conditions.
Membership Agreement –
1. Membership & Billing
1.1 Auto-Renewal & Billing Cycle – Memberships are billed automatically on a recurring basis according to the billing period selected at signup (monthly or annual). Your subscription will automatically renew unless canceled in accordance with these Terms.
1.2 Cancellations – Membership cancellations must be completed directly by the Member through the Membership platform. We do not process cancellations via email or verbal requests.
1.3 No Refund Policy – All payments are non-refundable, regardless of usage or participation.
1.4 No Rollover – Unused consulting hours, resources, or benefits do not roll over into subsequent billing periods.
1.5 Downgrades & Upgrades – To change your plan, you must cancel your existing plan and re-subscribe to the new plan.
1.6 Fee Increases – The Company may adjust Membership fees for future billing periods. Members will receive at least 15 days’ notice of any fee increase. Fee changes will not affect amounts already paid.
1.7 Chargebacks / Payment Disputes – Filing a chargeback or disputing payments with your bank or payment processor without prior resolution is a breach of this Agreement and may result in immediate termination and recovery of associated fees and damages.
2. Member Obligations & Conduct
2.1 Active Participation – Membership success depends on engagement. You are expected to be an active participant in community events, discussions, and activities.
2.2 Professional Standards – Members must maintain politeness, respect, professionalism, and support within the community. Profanity, harassment, hate speech, or disruptive behavior will not be tolerated.
2.3 Confidentiality – Members agree to keep all community discussions, shared strategies, and proprietary content confidential.
2.4 No Screenshots or Recordings – Members may not take screenshots, photos, or videos of community content, sessions, or other members without written consent.
2.5 Profile Requirement – Uploading a profile picture is mandatory for active membership.
2.6 Non-Disparagement – Members agree not to make false, misleading, or disparaging statements about the Company, its staff, or other Members.
2.7 Account Security – Membership accounts are personal and non-transferable. Sharing access, logins, or materials with non-members is strictly prohibited and grounds for immediate termination without refund.
3. Community & Third-Party Interactions
3.1 Vendors & Third Parties – The Company may provide access to or recommend third-party vendors, partners, or affiliates. Members engage with such third parties at their own risk and under their own terms. The Company is not responsible or liable for any third-party services.
3.2 Member-to-Member Dealings – The Company is not responsible or liable for any relationships, agreements, or business dealings between Members.
3.3 Testimonials & Wins – By joining, you grant the Company the right to share your wins, testimonials, and success stories (with attribution) for marketing, social media, and promotional purposes.
4. Legal Disclaimers
4.1 No Legal Advice – The Company does not provide legal, tax, or financial advice. Members are encouraged to consult with licensed attorneys or professionals for such matters.
4.2 No Guarantees – The Company makes no guarantees of business success, revenue, or results. Outcomes vary based on individual effort, strategy, and execution.
4.3 Hold Harmless & Indemnification – Members agree to indemnify, defend, and hold harmless the Company, its owners, contractors, employees, and partners from and against any and all claims, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising from Member’s actions, participation, or breach of this Agreement.
4.4 Assumption of Risk – Participation in business activities, events, and vendor opportunities is at your own risk.
4.5 Force Majeure – The Company shall not be liable or deemed in breach for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to internet outages, platform downtime, strikes, acts of God, or government actions.
5. Intellectual Property & Non-Compete
5.1 Ownership – All materials, strategies, trainings, and resources provided within the Membership are the exclusive intellectual property of the Company.
5.2 Non-Compete – Members may not copy, reproduce, repurpose, or use Company materials, frameworks, or systems to create a competing membership, program, or consulting service.
5.3 Enforcement – Violation may result in immediate termination without refund, as well as legal action for damages, injunctive relief, and recovery of attorneys’ fees.
6. Privacy & Security
6.1 Privacy Policy – Member data will be collected, stored, and used in accordance with the Company’s Privacy Policy.
6.2 Security Breach Notification – In the event of a security breach affecting Member data, the Company will notify impacted Members in compliance with applicable laws.
6.3 User Agreements – By joining, Members agree to all posted Company policies, including these Terms, the Privacy Policy, and any future updates.
7. Termination
7.1 Termination by Company – The Company reserves the right to terminate any Membership, without refund, for violation of these Terms or disruptive conduct.
7.2 Termination by Member – Members may cancel at any time through the Membership platform in accordance with Section 1.2.
8. Dispute Resolution & Governing Law
8.1 Good Faith Resolution – In the event of any dispute, claim, or controversy arising out of or relating to this Membership Agreement, the parties agree to first attempt to resolve the matter through good faith negotiation.
8.2 Arbitration – If the dispute cannot be resolved through negotiation within thirty (30) days, the matter shall be submitted to binding arbitration before a single arbitrator, administered in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Nassau County, New York, unless otherwise agreed in writing. The arbitrator’s decision shall be final, binding, and enforceable.
8.3 Court Actions (Limited) – Notwithstanding arbitration, either party may bring an action in the courts of Nassau County, New York to:

Obtain injunctive or equitable relief (e.g., protect confidential information or IP)

Enforce an arbitration award

Resolve disputes where arbitration is legally unenforceable
8.4 Governing Law & Jurisdiction – This Agreement shall be governed by New York law. By joining, you consent to the jurisdiction and venue of courts located in Nassau County, New York.
8.5 Costs – Each party bears its own costs and attorney’s fees, except as otherwise determined by the arbitrator or required by law.
9. Modification of Terms
The Company may update or modify these Terms at any time. Notice will be provided via email or posted on the Membership platform. Continued participation constitutes acceptance of the updated Terms.
10. Miscellaneous
10.1 Severability – If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
10.2 Entire Agreement – This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings.
11. Acceptance of Terms
By joining, you acknowledge that you have read, understood, and agree to these Terms & Conditions.
